Token Sale Terms and Conditions

By completing any transaction on this platform, you ("Participant") agree to these Terms and Conditions with Nestex sro, a registered Virtual Asset Service Provider established under the laws of Slovakia ("Company") with an address of Dunajská 4516/66, 811 08 Bratislava - Old Town district, Slovakia. Company number: 55531229.

Presale Compliance and Custody Notice

All token presale activities shall be conducted through Nestex s.r.o., a registered Virtual Asset Service Provider (VASP) under Slovakian law. Nestex s.r.o., company number 55531229, with its registered office at Dunajská 4516/66, 811 08 Bratislava – Old Town district, Slovakia, will act as the designated entity for handling custody, compliance, and KYC/AML obligations related to the presale. By participating, users acknowledge and agree that all funds and token allocations will be managed in accordance with applicable regulatory standards through the aforementioned VASP.

2.1 Token Purpose

$WAGER tokens ("Tokens") will serve solely as utility tokens within the Wager-LINK ecosystem.

2.2 Future Token Rights

This agreement entitles you to receive a future allocation of Tokens, if and when such Tokens are generated and delivered, subject to the vesting schedule and terms specified in your transaction.

2.3 Token Limitations

• Tokens are utility-only digital assets
• Tokens do not represent securities, financial instruments, or investments
• Tokens confer no equity rights, profit sharing, dividends, or governance powers
• Tokens are solely for access to services within the Wager-LINK platform

3. Purchase and Delivery Terms

3.1 Purchase Process

By completing a transaction, you agree to purchase the right to receive future utility Tokens in exchange for digital assets as specified at the time of your transaction.

3.2 Token Delivery

If Tokens are created and issued, they will be delivered to the wallet address you designate, according to the vesting schedule and allocation defined at the time of the transaction.

3.3 Transaction Records

Your specific purchase terms — including amount, token quantity, pricing, vesting, and wallet address — are recorded in the platform's transaction log and form an integral part of this agreement.

4. Eligibility and Representations

4.1 Geographic Restrictions

You represent and warrant that:

• You are not a citizen, resident, or located in the European Union, United Kingdom, United States, or any jurisdiction subject to international sanctions
• You are not acquiring Tokens on behalf of any such person or entity
• You are legally permitted to participate under the laws applicable to you

4.2 Investor Qualifications

You self-certify that you meet the definition of a self certified sophisticated investor including:

• Sufficient knowledge and experience in crypto assets
• Ability to assess risks related to early-stage digital asset projects
• Independent financial decision-making capacity
• You have made more than one investment in an unlisted company in the past two years, or
• You are a member of a network or syndicate of business angels for at least six months, or
• You have worked in a professional capacity in private equity, provision of finance for SMEs, or general finance in the past two years
• You understand that by self-certifying, you may lose significant rights to compensation and redress
• You understand blockchain technology and cryptographic tokens
• You are participating voluntarily for your own use and benefit

4.3 Legal Compliance

• Your digital assets have been lawfully acquired and are not derived from illicit activity
• You have not been solicited publicly or via advertising
• You have independently assessed your eligibility and, where needed, obtained legal advice

4.4 Understanding of Terms

• You acknowledge that this agreement does not offer equity, security, or financial return
• You are not relying on liquidity, secondary markets, or price appreciation
• You understand Tokens are intended solely for utility, not investment or speculation

5. Risk Acknowledgment

5.1 Regulatory Risk

Laws or regulations may change and affect whether Tokens can be delivered or used.

5.2 Market Risk

• No guarantee of liquidity or market value
• Price volatility is inherent to digital assets
• You could lose 100% of your contribution

5.3 Development Risk

Token delivery may be delayed, modified, or cancelled due to platform or development issues.

5.4 Technical Risk

• Token delivery depends on blockchain infrastructure
• Errors in smart contracts, wallets, or protocols may result in loss
• The Company accepts no liability for such failures

5.5 Taxation Risk

You are fully responsible for any taxes arising from this agreement in your jurisdiction.

6. Company Rights and Compliance

6.1 Verification Rights

The Company may require KYC or other compliance checks before or after participation and token issuance and delivery.

6.2 Refusal Rights

The Company may refuse delivery or participation at its sole discretion for breach of these terms.

6.3 Compliance Requests

The Company may request documentation to comply with AML, CTF, sanctions, or securities regulations. Failure to comply may void participation.

6.4 Amendment Rights

The Company may delay, amend, or cancel token delivery to comply with applicable laws.

7. Limitations and Disclaimers

7.1 No Regulatory Approval

No government, regulator, or authority has reviewed or approved this agreement. You are soley responsible for ensuring legal participation under your local laws.

7.2 Liability Limitations

• The Company does not verify the legality or origin of participant funds
• The Company is not liable for legal consequences related to misuse of assets
• You waive claims arising from regulatory changes, tax treatment, or loss of access

8. Legal Provisions

8.1 Governing Law
